Welcome to Hakkemni. These Terms of Service (the "Terms") govern your access to and use of the Hakkemni website, mobile applications, the Hakkemni health companion, Hakkemni Pro, and all related services (together, the "Platform"), operated by Hakkemni ("Hakkemni," "we," "us," or "our").
By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which forms part of these Terms. If you do not agree, do not use the Platform.
1. What Hakkemni Is - and Is Not
1.1 Hakkemni is a technology platform. It helps individuals ("Users" or "Patients") organize their health information, receive informational insights, and connect with independent healthcare professionals ("Providers"). It also offers Providers tools to manage their practice ("Hakkemni Pro").
1.2 Hakkemni does not practice medicine and does not provide medical advice, diagnosis, or treatment. Providers on the Platform are independent professionals. They are not employees, agents, or representatives of Hakkemni, and Hakkemni does not supervise, direct, or control the medical care they provide.
1.3 The Hakkemni health companion is an informational tool only. It uses automated processing, including artificial intelligence, to help you understand your health information and suggest possible next steps. Its output:
• is not medical advice, diagnosis, or treatment;
• may be incomplete, outdated, or inaccurate;
• must never be used as a substitute for the judgment of a qualified healthcare professional; and
• must never be relied upon to start, stop, or change any medication or treatment.
Always consult a qualified healthcare professional about any medical condition or decision.
1.4 Emergencies. The Platform is not designed for emergencies. If you believe you are experiencing a medical emergency, contact your local emergency services immediately. Do not rely on the Platform, the health companion, or Platform messaging in an emergency.
2. Eligibility and Accounts
2.1 You must be at least 18 years old to create an account. Minors may only use the Platform through a family profile or account managed by a parent or legal guardian who accepts these Terms on their behalf.
2.2 You agree to provide accurate, current, and complete information during registration and to keep it updated. Hakkemni may modify the information required for registration or verification at any time.
2.3 You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use at info@hakkemni.com.
2.4 If you create or manage family profiles (once available), you represent that you are legally authorized to do so and to provide the associated information, and you are responsible for all activity conducted through those profiles.
2.5 One person or entity may not maintain multiple accounts for abusive purposes, and accounts may not be transferred or sold.
3. Acceptable Use
You agree that you will not:
• use the Platform for any unlawful, fraudulent, or unethical purpose;
• impersonate any person or misrepresent your identity, qualifications, or affiliation;
• upload false, misleading, or harmful health or professional information;
• harass, abuse, spam, or harm other Users, Providers, or Hakkemni staff;
• attempt to hack, probe, reverse-engineer, decompile, scrape, or disrupt the Platform, its security, or its underlying systems;
• use automated means (bots, scripts, crawlers) to access the Platform without our written permission;
• use the Platform, including the health companion, to obtain content for building or training competing products or services;
• circumvent, remove, or interfere with any security or technical measures;
• upload viruses, malware, or any harmful code; or
• use another user's account or access data you are not authorized to access.
Hakkemni may investigate violations and suspend or terminate accounts as described in Section 10.
4. Additional Terms for Healthcare Providers
Providers using the Platform or Hakkemni Pro must:
4.1 Hold and maintain all licenses, registrations, and qualifications required to practice in their jurisdiction, and provide truthful, verifiable credentials, clinic details, specialties, certifications, fees, and other profile information, keeping them up to date.
4.2 Comply with all applicable medical laws, professional codes of ethics, and standards of care, including patient confidentiality obligations.
4.3 Remain solely responsible for all medical advice, diagnoses, treatments, prescriptions, and care they provide, and for all clinical records they maintain.
4.4 Obtain all patient consents required by law before publishing any content relating to patients (including anonymized case images). Hakkemni may review content for compliance with its policies, but such review does not constitute medical, legal, or accuracy verification, and Hakkemni assumes no responsibility for Provider-published content. Hakkemni may modify its review standards at any time.
4.5 Where a Provider processes patient data through Hakkemni Pro, the Provider acts as data controller of that data and is responsible for its lawful collection and use; Hakkemni acts as a processor as described in the Privacy Policy.
4.6 Use integrations with third-party practice management software at their own responsibility; Hakkemni is not liable for data handled in or by third-party systems.
5. Subscriptions, Payments, and Refunds
5.1 Access to Hakkemni Pro requires a paid subscription (monthly or annual). Prices, billing cycles, and payment terms are disclosed before subscription. The Platform is currently free for Patients; Hakkemni reserves the right to introduce paid features for any user category with prior notice.
5.2 Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. Cancellation takes effect at the end of the current billing period; access continues until then.
5.3 Except where required by applicable law, subscription fees are non-refundable, including for partial periods, downgrades, or unused features. Hakkemni may grant refunds at its sole discretion in exceptional cases.
5.4 Hakkemni may modify pricing, billing cycles, and refund policies with prior notice to active subscribers. Continued use after the change takes effect constitutes acceptance of the new pricing.
5.5 Payments are processed by third-party payment providers. Hakkemni does not store full payment card details and is not responsible for the acts or omissions of payment providers. You are responsible for any taxes, bank fees, or exchange costs associated with your payments.
5.6 Hakkemni may suspend access to paid features for accounts with unpaid amounts.
6. Appointments, Messaging, and Interactions
6.1 The Platform allows Patients and Providers to schedule, modify, and cancel appointments. Appointment availability, policies, and fees are set by each Provider. Hakkemni may update Platform-level scheduling and cancellation features at any time.
6.2 Hakkemni is not a party to any relationship, appointment, or transaction between a Patient and a Provider and is not liable for missed, cancelled, delayed, or rescheduled appointments, no-shows, quality of care, or any dispute between Patients and Providers.
6.3 In-app messaging is provided for care-related communication. Misuse of messaging - including spam, harassment, solicitation, or sharing of unlawful content - may result in suspension or termination. Messaging is not monitored in real time and must not be used for emergencies.
7. Health Data and Connected Devices
7.1 You retain ownership and control of the health information you upload. You choose what to share, with whom, and can withdraw sharing, export, or delete your data as described in the Privacy Policy.
7.2 If you connect a smartwatch or other third-party health accessory (where supported), you authorize Hakkemni to receive the data you select. Device data accuracy depends on the device and its manufacturer; Hakkemni is not responsible for errors in third-party device data or for the availability of third-party integrations.
7.3 You are responsible for the accuracy of the information you provide. Insights generated by the Platform depend on the data available to it; inaccurate or incomplete data will affect the relevance of any output.
8. Intellectual Property and User Content
8.1 The Platform - including its software, design, trademarks, logos, text, graphics, and all other content created by Hakkemni - is owned by Hakkemni or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Platform.
8.2 Hakkemni grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose, subject to these Terms.
8.3 You retain ownership of the content you submit ("User Content"). You grant Hakkemni a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your User Content solely to operate, secure, and improve the Platform and provide its features, in accordance with the Privacy Policy.
8.4 Providers additionally grant Hakkemni a limited license to display their public profile information (credentials, clinic details, photos, and related professional content) for Platform operation and reasonable marketing of the Platform.
8.5 Hakkemni may remove, restrict, or refuse any content that violates these Terms, its policies, or applicable law, without prior notice.
8.6 Feedback you provide about the Platform may be used by Hakkemni without restriction or compensation.
9. Third-Party Services
The Platform may contain links to, or interoperate with, third-party websites, apps, devices, and services. These are provided for convenience only. Hakkemni does not control and is not responsible for third-party services, their content, or their privacy and security practices. Your use of them is at your own risk and subject to their own terms.
10. Suspension, Termination, and Platform Changes
10.1 You may stop using the Platform and request deletion of your account at any time. Upon termination, your data will be handled as described in the Privacy Policy.
10.2 Hakkemni may suspend or terminate your access, with or without notice, if you violate these Terms, provide false information, endanger other users, misuse the Platform, fail to pay applicable fees, or where required by law. Hakkemni may also deactivate accounts that remain inactive for an extended period, after reasonable notice where feasible.
10.3 Hakkemni may modify, suspend, or discontinue any part of the Platform at any time. Where reasonably possible, we will give advance notice of material changes that significantly affect paid features.
10.4 Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) survive termination.
11. Disclaimers
11.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAKKEMNI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
11.2 Hakkemni does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any content - including output of the health companion - is accurate, complete, or current.
11.3 Hakkemni makes no warranty regarding, and assumes no responsibility for: medical services provided by Providers; the accuracy of Provider profiles or Provider-published content; data from connected third-party devices; or third-party services, integrations, or payment processing.
11.4 While Hakkemni implements industry-standard security measures, no system is completely secure, and you acknowledge this inherent risk.
12. Limitation of Liability
12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAKKEMNI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR HEALTH OUTCOMES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 WITHOUT LIMITING THE FOREGOING, HAKKEMNI SHALL NOT BE LIABLE FOR ANY MEDICAL DECISION, TREATMENT, OMISSION, OR OUTCOME RESULTING FROM: (A) SERVICES PROVIDED BY ANY PROVIDER; (B) INFORMATION OR SUGGESTIONS GENERATED BY THE HEALTH COMPANION; OR (C) YOUR RELIANCE ON ANY CONTENT AVAILABLE THROUGH THE PLATFORM.
12.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAKKEMNI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HAKKEMNI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).
12.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.
13. Indemnification
You agree to indemnify, defend, and hold harmless Hakkemni and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Platform; (b) your violation of these Terms or applicable law; (c) your User Content; (d) for Providers, the medical services you provide, your professional conduct, or your handling of patient data; or (e) your violation of any third party's rights.
14. Force Majeure
Hakkemni shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, power or telecommunications failures, internet or hosting outages, cyberattacks, or acts of government.
15. Governing Law and Dispute Resolution
15.1 These Terms are governed by and construed in accordance with the laws of the Republic of Lebanon, without regard to conflict-of-law principles, except where the mandatory consumer protection or data protection laws of your country of residence grant you additional non-waivable rights.
15.2 Before initiating any formal proceeding, you agree to first contact Hakkemni at info@hakkemni.com and attempt in good faith to resolve the dispute informally within sixty (60) days.
15.3 Any dispute not resolved informally shall be finally resolved by arbitration seated in Beirut, Lebanon, conducted in accordance with the applicable arbitration rules, unless mandatory law grants you the right to bring the claim before the courts of your place of residence.
15.4 Each party shall bring claims only in its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding, to the extent permitted by applicable law.
16. General Provisions
16.1 Entire agreement. These Terms, together with the Privacy Policy and any additional terms presented for specific features, constitute the entire agreement between you and Hakkemni regarding the Platform.
16.2 Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be replaced with a valid one that most closely reflects its intent.
16.3 No waiver. Hakkemni's failure to enforce any right or provision is not a waiver of that right or provision.
16.4 Assignment. You may not assign these Terms without Hakkemni's prior written consent. Hakkemni may assign these Terms in connection with a merger, acquisition, or sale of assets.
16.5 Language. These Terms may be translated for convenience; in case of conflict, the English version prevails to the extent permitted by law.
17. Amendments
Hakkemni may modify these Terms at any time. For material changes, we will provide reasonable advance notice through the Platform or by email. The updated Terms take effect on the stated effective date, and your continued use of the Platform after that date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Platform and may terminate your account.
